Terms of Sale (CGV)

Article 1. Subject and Scope
These General Terms and Conditions of Sale (hereinafter "GTCS" or "CGV") govern the contractual relations between Powerlight Studio, a sole proprietorship whose registered office is located at 14 Faubourg Sainte-Claire, 74000 Annecy, France, registered under SIRET number 83353631100024 (hereinafter "the Agency"), and any professional or individual client (hereinafter "the Client") placing an order on the website www.powerlightstudio.com or via a direct quote.
Article 2. Services
The Agency offers visual engineering and production services for the YouTube platform, including in particular:
- Miniatures Offers: Conception of thumbnails (with an A/B testing option) and title optimization.
- Montage and Complete Pack Offers: Strategic editing, retention optimization, and short format adaptation.
Article 3. Ordering Procedure
Direct Online Purchase: For direct online purchases (e.g. Miniatures Starter), the order is validated upon receipt of the full payment through our secure Stripe system, followed by the submission of the brief by the Client via our qualification form (Google Forms).
High-Ticket Services: The Montage and Complete Pack offers are initiated through a Google Forms qualification form and validated after a qualification exchange. The order is fully validated upon acceptance by the Client and full payment of the order.
Article 4. Prices and Payment Methods
The prices of our services are indicated in euros, including all taxes (TTC).
Payments are made by credit card (via Stripe) or by bank transfer.
Late Payment: In accordance with Article L. 441-10 of the French Commercial Code, in the event of late payment, late payment penalties equal to three times the legal interest rate in force will be payable automatically, as well as a flat recovery fee of 40 euros.
Article 5. Customer Commitments and Deadlines
The Client agrees to provide all necessary elements to complete the service (raw video footages, graphic guidelines, access, complete brief) within the required periods via our qualification forms.
Delivery deadlines announced by the Agency begin only upon receipt of all requested elements provided by the Client. Any delay by the Client in rendering these elements will lead to a proportional postponement of the delivery scheduled date.
Article 6. Revisions and Modifications
To guarantee elite visual standards and respect delivery schedules, our services include a defined number of revision cycles:
- Thumbnails and visual works: 3 cycles of minor revisions included.
- Video editing: 2 cycles of revisions (1 for overall layout, 1 for final pacing/finishes).
Any additional revision requests, modifications of the initial strategic orientation, or complete rebuilds outside of this scope will be subject to additional billing.
Article 7. Liability and Obligation of Means
The Agency agrees to implement its technical and strategic expertise (visual engineering, dynamic editing, A/B testing) to optimize client content (obligation of means / best efforts).
However, since the Agency exerts no control over the YouTube algorithm or audience behavior, it cannot guarantee specific numerical results (absolute traffic, generated revenues, positions). The Agency's liability cannot be engaged in case of performances deemed unsatisfactory if deliverables conform to the initial brief.
Article 8. Intellectual Property and Publicity Rights
Transfer of Rights: Intellectual property of final deliverables is transferred to the Client only after full payment of the services.
Portfolio: Unless explicitly agreed otherwise by signing a Non-Disclosure Agreement (NDA) prior to the service, the Agency reserves the rights to use the completed creations (thumbnails, video clips, anonymized statistics) to promote its business on its official website, social networks, and pitching presentation decks.
Article 9. Right of Withdrawal and Cancellation
B2B Clients: Orders placed by professionals in the course of business do not benefit from any right of withdrawal. Any deposit paid is permanently retained by the Agency.
Individual Clients (Undeclared Creators): In accordance with Article L221-28 of the French Consumer Code, the Client expressly waives their 14-day right of withdrawal, as the service concerns supply of digital contents not provided on a tangible medium whose execution began with their express prior consent.
Article 10. Applicable Law and Competent Jurisdiction
These terms and conditions are subject to French law. In the event of a dispute, an amicable agreement will be sought as a priority. If no agreement is reached, the competent courts within the jurisdiction of the Agency's registered office will have exclusive jurisdiction, even in the case of multiple defendants or third-party guarantee claims.
